Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Hire N Ride website www.hirenride.com, the Hire N Ride mobile apps, and related services (together, the "Platform"). Every user, whether a Host, a Rider or a visitor, accepts these Terms. If you do not agree, please do not use the Platform.

1. About us and contracting entity

1.1 Hire N Ride is a trading name of Sheshank Jamwal, sole proprietor (GSTIN 03ARHPJ8779R2ZS), C201-202, Cyber Cube Industrial Area, Sector 74 ("Hire N Ride", "we", "us" and "our").

1.2 Complaints are handled as set out in Section 17. The grievance contact is published once, at https://www.hirenride.com/legal.

1.3 Future company. We intend to transfer our business to a private limited company (expected to be named "Hire N Ride Private Limited"). See Section 19.

2. Who these Terms apply to and how they fit with other documents

2.1 These Terms apply to everyone. In addition:

• Hosts (people who list vehicles) also accept the Host Terms.
• Riders (people who book vehicles) also accept the Rider Terms.
• Everyone accepts the Fee, Deposit, Cancellation and Refund Policy ("Fee Policy"), the Vehicle Handover & Delivery Policy and the Privacy Policy (which, together with the User Data Deletion page, explains how we handle and delete your data).
• Each booking is governed by a Booking Agreement: the lease between the Host and the Rider for one trip. It is the booking cover page together with the Rider Terms, the Fee Policy, and the Vehicle Handover & Delivery Policy. Hire N Ride is not a party to it.

2.2 Order of precedence. If these documents conflict on any matter concerning Hire N Ride (our role, liability, payments, data, suspension, disputes), they apply in this order: (1) these Terms; (2) the Host Terms or Rider Terms, as applicable; (3) the Fee Policy and the Vehicle Handover & Delivery Policy; (4) the Booking Agreement, which governs matters between the Host and the Rider only.

3. Our role: marketplace and intermediary only

3.1 Hire N Ride is an online marketplace and intermediary. We provide technology that lets Hosts list vehicles and Riders find and book them. Our services include KYC tools, electronic contracting, payment collection (as the Host's limited agent, Section 7), customer support and grievance handling.

3.2 We do not own, lease, hire, possess, operate, maintain, inspect or insure any vehicle listed on the Platform. We are not a transport operator, rent-a-cab or rent-a-motorcycle operator, insurer, insurance intermediary or guarantor. The Host is the lessor and is solely responsible for the vehicle, including its registration, registration category, permits, documents, insurance, condition and legal compliance.

3.3 We may check documents and information (for example on VAHAN, Sarathi, DigiLocker or e-challan portals). We do this for our own risk management only. It is not a promise or guarantee to anyone about any vehicle, Host or Rider.

3.4 We do not control, and make no promise about, the condition, legality or suitability of any vehicle or listing. We do not control the conduct of Hosts or Riders.

4. Eligibility and accounts

4.1 You must be at least 18 years old and able to enter into a binding contract under Indian law. Additional eligibility rules apply to Riders and Hosts.

4.2 You must give true, complete and current information, complete KYC when asked, and keep your login credentials secure. You are responsible for all activity on your account. Tell us immediately through the grievance contact at https://www.hirenride.com/legal if you suspect unauthorised use.

4.3 One person, one account. You may not create an account for or on behalf of someone else, or use someone else's documents.

5. Acceptable use

You must not use the Platform to:

(a) upload content that is false, misleading, unlawful, defamatory, obscene, invasive of privacy, infringing, or harmful to minors, or that impersonates another person; (b) list a vehicle you are not entitled to list, or misstate its registration category, permits, insurance or documents; (c) arrange bookings or payments outside the Platform for a contact made through the Platform; (d) interfere with the Platform's security, scrape it, reverse-engineer it, or introduce malware; (e) harass, threaten or discriminate unlawfully against anyone; or (f) break any law, including the Motor Vehicles Act, 1988.

We may remove content and act on accounts that breach this Section. We will act on lawful orders and valid complaints as required by the IT Rules, 2021.

6. Bookings and the per-booking agreement

6.1 A booking is confirmed only when the Platform shows it as confirmed and both the Host and the Rider have accepted the Booking Agreement electronically in the app, by ticking an unticked checkbox and tapping "I Agree", and, if the app asks, by confirming with a one-time password sent to their registered mobile. A trip cannot start until the Booking Agreement has been accepted by both.

6.2 When both have accepted, our servers generate a PDF copy of the accepted Booking Agreement, record its SHA-256 hash, store it unalterably, and email it to the Host and the Rider. It also remains available in the app. No physical, digital or electronic signature is needed.

7. Payments: Hire N Ride as the Host's limited collection agent

7.1 All payments are made through the Platform, using RBI-authorised payment aggregators or banks. Cash and off-Platform payments are not permitted.

7.2 The Host appoints us as its limited agent solely to collect rental, security deposits and other Rider charges, and to remit them to the Host. Payment by a Rider to Hire N Ride counts as payment to the Host.

7.3 The Rider convenience fee is set out in the Fee Policy. The Host commission is set out in the Host Terms. They are charged separately.

7.4 Payout holds. We may defer or withhold all or part of any Host payout for as long as reasonably necessary to deal with: an open damage, challan or customer claim; a suspected breach, fraud or circumvention; chargebacks or refunds; missing or mismatched KYC or bank details; a request of an authority; or the post-termination holding period in the Host Terms.

7.5 Set-off. We may set off any amount you owe us (or, for Riders, owe a Host under a Booking Agreement) against any amount we hold for or owe you, including security deposits, refunds and payouts. We may block new bookings or listings until outstanding dues are paid.

7.6 Taxes. We may deduct or collect taxes where the law requires an e-commerce operator to do so, including GST TCS and income-tax TDS. We will issue the statutory certificates.

8. Suspension and termination

8.1 You may close your account at any time, subject to completing open bookings and paying any dues.

8.2 We may suspend or terminate your account or any listing, or cancel a booking, with or without notice, where: you breach these Terms or any linked document; documents are missing, invalid or expired; we receive credible complaints or safety concerns; the law, a court or an authority requires it; providing services to you is or becomes unlawful or exposes us to legal or regulatory risk; or there is suspected fraud. Where reasonable, we will tell you the reason and give you a chance to respond.

8.3 Sections 7.4–7.5, 9, 10, 11, 15, 16 and 18 survive termination.

9. Indemnity

9.1 You agree to indemnify and hold harmless Hire N Ride and its owners, officers, employees and agents against losses, fines, penalties, claims and reasonable legal costs arising from: (a) your breach of these Terms, any linked document or the law; (b) your negligence, misconduct, misrepresentation or fraud; and (c) for Hosts, your vehicle, its registration category, permits, documents and insurance, and any vehicle-compliance fine. Each user is responsible only for his or her own acts and omissions.

10. Disclaimers and limitation of liability

10.1 The Platform is provided "as is" and "as available". We do not guarantee uninterrupted or error-free service, or any number of bookings.

10.2 To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or business, or loss of personal belongings left in a vehicle.

10.3 To the extent permitted by law, our total liability to you is limited as follows:

• Riders: the total amount you paid for the booking concerned.
• Hosts: the lower of (a) the commission we received from you in the 3 months before the claim, and (b) ₹10,000.

10.4 Nothing in these Terms excludes or limits liability that cannot be excluded under Indian law, including our liability for fraud, or your rights under the Consumer Protection Act, 2019.

11. Intellectual property

The Platform, the "Hire N Ride" name and logo, and our content belong to us or our licensors. You may use them only to use the Platform as intended. Hosts grant us a licence to display listing content (see the Host Terms).

12. Privacy and data protection

We process personal data as described in our Privacy Policy, in accordance with the Digital Personal Data Protection Act, 2023 and the rules made under it. By using the Platform you acknowledge the Privacy Policy, and you give the consents it describes where consent is required.

13. Communications

You agree to receive transactional messages (OTP, booking, payment, safety, legal-change notices) by SMS, email, WhatsApp or in-app notification. Promotional messages are sent only with your consent, and you can opt out at any time.

14. Third-party services

The Platform uses third-party services (payment aggregators, maps, KYC providers, government portals). Their own terms apply to them, and we are not responsible for them.

15. Changes to these Terms

15.1 We may update these Terms. Every version has a version number, an effective date and a permanent URL, and past versions are kept in our Legal Archive at https://www.hirenride.com/legal/archive.

15.2 For material changes, we will give at least 30 days' notice by email and in-app banner, and ask you to accept the new version before your next listing or booking. Changes required by law or made for safety reasons may take effect sooner. If you do not agree, you may close your account before the change takes effect. A change does not affect bookings already confirmed.

16. Governing law and disputes

16.1 These Terms are governed by the laws of India.

16.2 First step: grievance redressal. Please raise any dispute with our Grievance Officer first (Section 17).

16.3 Arbitration (non-consumer disputes). Disputes between Hire N Ride and a Host, and any other dispute that is not a consumer dispute, that are not resolved within 30 days, shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. Failing agreement within 30 days, the arbitrator is appointed under section 11 of that Act. Neither party may appoint the arbitrator unilaterally. The seat and venue is Sahibzada Ajit Singh Nagar (Mohali), Punjab. The language is English.

16.4 Courts. Subject to Section 16.3, the courts at Sahibzada Ajit Singh Nagar (Mohali), Punjab have exclusive jurisdiction. Either party may seek urgent interim relief.

16.5 Consumers. Nothing in this Section prevents a Rider or other consumer from approaching a consumer commission having jurisdiction under the Consumer Protection Act, 2019.

17. Grievance redressal

17.1 Complaints about the Platform, a listing, content, a booking, payments or personal data may be sent to our Grievance Officer (Section 1.2), or through the in-app "Help > Raise a complaint" form. Each complaint receives a ticket number.

17.2 We will acknowledge complaints within 24 hours (and in any case within 48 hours) and aim to resolve them within 15 days. Consumer complaints will be resolved within one month of receipt at the latest, as required by law.

17.3 Data-protection complaints are handled as described in the Privacy Policy. If you are not satisfied, you may approach the Data Protection Board of India once it is available to you under the DPDP Act.

18. General

18.1 Severability. If any provision is invalid, the rest continues in force.

18.2 No waiver. A delay in enforcing a right is not a waiver of it.

18.3 Force majeure. We are not liable for failures caused by events beyond our reasonable control.

18.4 Electronic record and acceptance. These Terms are an electronic record under the Information Technology Act, 2000. You accept them, and every other Legal Document and Booking Agreement, by ticking an unticked acceptance checkbox and tapping "I Agree", and, if the app asks, by confirming with a one-time password sent to your registered mobile. A contract formed in this way is not unenforceable merely because it was made in electronic form (section 10A of the Information Technology Act, 2000), and is a binding contract under the Indian Contract Act, 1872. No signature is required. We record the document version, date and time, IP address, device and (for bookings) the booking ID of your acceptance, and these records are evidence of what you accepted.

18.5 Notices to us: the grievance contact at https://www.hirenride.com/legal. Notices to you: your registered email, mobile or in-app.

19. Assignment and novation to Hire N Ride Private Limited

19.1 You may not assign your rights under these Terms.

19.2 We may assign, transfer or novate these Terms and any linked document (including Host agreements and Booking Agreements), with all rights and obligations, to an affiliate or successor of our business, including a private limited company to be incorporated as "Hire N Ride Private Limited" (or similar name) to which the business of Hire N Ride is transferred. We will give you at least 30 days' notice by email and in-app. You consent to such a transfer in advance. From the date stated in the notice, the company will be substituted for us. We may ask you to confirm by a simple in-app acknowledgement. Bookings in progress complete on their existing terms.
